Please read these Terms carefully. They contain the terms and conditions for your use of The Blue Shoe Project website (“Site”). If you do not accept these Terms and comply with them in all material respects, you may not use the Site..
Binding Agreement
This Site is owned by The Blue Shoe Project, Inc., (“The Blue Shoe Project”). By using the site, you are entering into a binding agreement with The Blue Shoe Project to comply in all material respects with all of the following terms.
Limited License to Use
Access to the Site is limited to viewing the linked web pages, and only for personal use. Any access to or attempt to access other areas of The Blue Shoe Project’s computer system or other information contained on the system for any purposes is strictly prohibited. The Blue Shoe Project will determine the context of what is acceptable, and unacceptable, in its sole discretion. This limited, non-exclusive license is subject strictly to the terms and conditions hereof and is terminable at any time and for any reason, within The Blue Shoe Project’s sole discretion. Any unauthorized use of the Site will terminate the permission or license granted by these Site Terms and may violate applicable law including copyright, trademark, and communications laws and regulations. All violators will be prosecuted to the fullest extent of the law.
No License to Download Music
Except as The Blue Shoe Project may specifically permit, no license is granted to download music from the Site.
Third Party Content
From time to time, the Site may include discussion forums and interactive areas, including bulletin board services. Any forums and interactive areas of the Site shall be used only for noncommercial purposes. By using the forums or interactive areas, you agree not to do any of the following:
Upload to, distribute or otherwise publish through the Site any message, data, information, text or other material (“Content”) that is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, harassing, threatening, harmful, invasive of privacy or publicity rights, abusive, inflammatory or otherwise objectionable;
Upload or transmit any Content that would constitute or encourage a criminal offense, violate the rights ofany party, or that would otherwise create liability or violate any local, state, national, or international law;
Upload or transmit any Content that may infringe any copyright, patent, trademark, trade secret, or other intellectual or proprietary right of any party. By posting any Content, you represent and warrant that you have the lawful right to distribute and reproduce such Content;
Impersonate any person or entity or otherwise misrepresent your affiliation with a person or entity; and
Without The Blue Shoe Project’s written permission, distribute or publish unsolicited promotions, advertising or solicitations for funds, goods or services, including junk mail and spam. The Blue Shoe Project takes no responsibility and assumes no liability for any Content posted or uploaded by you or any third party, or for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography or profanity you may encounter. As a provider of interactive services, if any, The Blue Shoe Project is only a forum and is not liable for any statements, representations, or Content provided by its users. Blue Shoe Project has the right, but not the obligation, to monitor any activity and Content associated with its forums and interactive areas. The Blue Shoe Project may investigate any reported violation of its policies or complaints and take any appropriate action that it deems appropriate. Such action may include, but is not limited to, issuing warnings, suspension or termination of service, and/or removal of posted Content. The Blue Shoe Project reserves the right and has absolute discretion, to remove, screen or edit any Content that violates these provisions or is otherwise objectionable. In order to cooperate with legitimate governmental requests, subpoenas or court orders, to protect The Blue Shoe Project’s systems and customers, or to ensure the integrity and operation of The Blue Shoe Project’s business and systems, The Blue Shoe Project may access and disclose any information it considers necessary or appropriate, including, without limitation, user profile information (i.e. name, e-mail address, etc.), IP addressing and traffic information, usage history, and posted Content. The Blue Shoe Project’s right to disclose any such information shall govern over any terms of The Blue Shoe Project’s Privacy Policy. You shall remain solely liable for the Content of any messages or other information you upload or transmit to the Site, including the discussion forums or interactive areas of the Site. You agree to indemnify and hold harmless The Blue Shoe Project from any claim, action, demand, loss, or damages (including attorneys’ fees) made or incurred by any third party arising out of or relating to your conduct, your violation of these Terms of Use, or your violation of any rights of a third party.
We reserve the right to change this policy at any time. Please check this page periodically for changes. Your continued use of this site following the posting of changes to these terms will mean you accept those changes. Information collected prior to the time any changes are posted will be used according to the rules and laws that applied at the time the information was collected.
Linking
You are granted a limited, non-exclusive right to create a hyperlink to the Site provided such link does not portray The Blue Shoe Project or any of its products and services in a false, misleading, derogatory or otherwise defamatory manner. You may not use a The Blue Shoe Project logo or other proprietary graphic or trademark of The Blue Shoe Project to link to the Site without the express written permission of The Blue Shoe Project. This limited right may be revoked at any time. The Blue Shoe Project makes no claim or representation regarding, and accepts no responsibility for, the quality, content, nature or reliability of third-party sites accessible by hyperlink from the Site, or third-party sites linking to the Site. The third-party linked sites are not under the control of The Blue Shoe Project and The Blue Shoe Project is not responsible for the content of any third-party linked site or any link contained in a third-party linked site, or any review, changes or updates to such sites. The Blue Shoe Project is providing these links to you only as a convenience, and the inclusion of any link does not imply affiliation, endorsement, or adoption by The Blue Shoe Project of the site or any information contained therein. When leaving the Site, you should be aware that The Blue Shoe Project’s terms and policies no longer govern, and, therefore, you should review the applicable terms and policies, including privacy and data gathering practices, of that site.
Intellectual Property Rights
All right, title and interest in and to the Site and its content is the sole property of The Blue Shoe Project, and except as expressly licensed herein, all rights are reserved. You may not reproduce, modify, display, sell or distribute the Site or any part of its content or use it in any respect, for any purpose, except as expressly permitted herein. THE BLUE SHOE PROJECT™ is a service mark of The Blue Shoe Project, Inc., and the “look and feel” of the Site, including without limitation the layout and graphical elements, constitute service marks of The Blue Shoe Project, Inc. and are also protected by copyright. The information presented on the Site, including any music, documents, data files or other materials available for viewing or downloading, is the copyrighted work of The Blue Shoe Project and/or its suppliers and is protected under U.S. and worldwide copyright laws and treaty provisions. The Blue Shoe Project grants you permission to copy purely informational and educational material, such as announcements and performance information, so long as each copy (i) is solely for personal, non commercial, and informational use and is not modified or revised in any manner, (ii) plainly displays all copyright and other proprietary notices, in the same form and manner as on the original and (iii) displays a statement that the materials are used solely with permission of The Blue Shoe Project.1 You may not download, copy, make derivative works of, publicly perform, or make other use of any music, articles, or other non-informational material contained on the Site, and may not, without The Blue Shoe Project’s permission, or “mirror” or “frame in” any material contained on the Site on any other server. Except as expressly provided in these Terms of Use, The Blue Shoe Project and its suppliers do not grant any express or implied right to you under any patents, copyrights, trademarks, or trade secret information.
Submission of Information
Do not use the Site as a means for submitting any information you consider to be proprietary.2 Any feedback or other information collected from users or customers of the Site, including but not limited to comments, suggestions, ideas, plans notes, drawings, original and creative materials, or other information provided by you in the form of e-mail or submissions to The Blue Shoe Project, or postings on the Site, shall be deemed to be non-confidential (subject to The Blue Shoe Project’s Privacy Policy) and shall become the sole property of The Blue Shoe Project. The Blue Shoe Project shall have no obligation of any kind with respect to such information and shall be free to reproduce, use, disclose and distribute the information to others without limitation. Further, The Blue Shoe Project shall be free to use any ideas, concepts, know-how or techniques contained in such information for any purpose whatsoever including but not limited to developing, producing and marketing products incorporating such information.
Confidentiality
The Blue Shoe Project may designate certain portions of the Site as confidential and proprietary. Areas of the Site which you access by using a password or other security device contain proprietary and confidential information of The Blue Shoe Project and its suppliers (“Confidential Information”). By accessing this Confidential Information, you agree to keep this information confidential and to use the information solely for the purposes intended by the Site. You also agree to be careful with the Confidential Information and to only disclose to persons under your direction or control with a “need to know” who are instructed and agree not to disclose the information and not to use the information for any purpose not permitted by these Terms of Use. You will not alter, decompile, disassemble, reverse engineer, or modify any Confidential Information that you receive.
Use of Likeness, Name and Biographical Information
If you submit photographs or other likenesses of you, or your name or other biographical information to The Blue Shoe Project, The Blue Shoe Project may publish such photographs, name, and/or biographical information, in whole or in part, as submitted or edited in The Blue Shoe Project’s discretion, on the Site or otherwise in connection with The Blue Shoe Project’s activities, and will consider your submission of those materials to be consent to such use.
Disclaimers and Limitations of Liability.
A. Disclaimer of Warranty.
THIS SITE IS PROVIDED ‘AS IS,’ WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT ALLOWED BY LAW, THE BLUE SHOE PROJECT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT. Without limiting the generality of the foregoing, THERE ARE NO WARRANTIES THAT THE SITE WILL BE ERROR-FREE, OR FREE FROM HARMFUL VIRUSES OR OTHER DEVICES. YOU USE THE SITE AT YOUR OWN RISK AND YOU WILL BE RESPONSIBLE FOR ANY COMPUTER DAMAGE OR OTHER LOSS RESULTING THEREFROM. THE BLUE SHOE PROJECT makes no warranty or representation regarding the accuracy, completeness or truthfulness of any information or other communication posted herein.
B. Limitations of Liability.
1. IN NO EVENT WILL THE BLUE SHOE PROJECTC OR ANY OF ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AFFILIATES, AGENTS, REPRESENTATIVES, OR ADVERTISERS, BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR SPECIAL DAMAGES RESULTING FROM OR ARISING IN CONNECTION WITH THE USE OR ACCESS TO (OR INABILITY TO USE OR ACCESS) THIS SITE OR ANYTHING CONNECTED THEREWITH. THIS INCLUDES, BUT IS NOT LIMITED TO, CLAIMS OF LOST PROFITS, OR FROM LOST DATA, OPPORTUNITIES OR INTERRUPTIONS, WHETHER BASED ON WARRANTY, TORT, CONTRACT OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER THE BLUE SHOE PROJECT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
2. In no event, and under no legal theory, will the liability of The Blue Shoe Project or any of its officers, directors, shareholders, employees, affiliates, agents, representatives or advertisers exceed the aggregate sum of US$5.00, or the compensation you have paid to The Blue Shoe Project for any goods or services in dispute, whichever is less.
3. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE LIMITATIONS SET FORTH ABOVE MAY NOT BE APPLICABLE TO YOU.
Equitable Relief.
You acknowledge that in the event of your breach or threatened breach of any terms and conditions related to your use of the Site, The Blue Shoe Project would suffer irreparable harm for which it would have no adequate remedy at law, and you agree that in such event The Blue Shoe Project will be entitled to temporary injunctive or other equitable relief without need of showing actual harm, and upon a posting of no, or minimal, security.
Indemnity
You agree to indemnify, hold harmless, and defend The Blue Shoe Project, together with its officers, directors, shareholders, employees, affiliates, agents, representatives or advertisers of, from and against any claims, actions or demands (including without limitation attorneys’ fees, expert witness fees, settlement amounts and expenses) alleging or resulting from or in connection with your use of the Site, any information posted or communicated by you, or your breach of any of these Terms. The Blue Shoe Project shall have the right, but not the obligation, to assist you, at your expense, in defending any such claim, notice or proceeding.
Choice of Law and Forum
Any dispute arising under or relating directly or indirectly to the use of this Site, any goods or services obtained from or through The Blue Shoe Project, or the relationship between or among You and The Blue Shoe Project and/or any of its officers, directors, employees, agents, representatives or any other person acting through or under it, will be heard in the state or federal courts located in Tarrant County, Texas, and in no other location. You irrevocably consent to personal jurisdiction in such courts and waive any objections to venue there based on convenience or otherwise.
General
The Terms and all other matters related to the Site shall be governed, interpreted and enforced according to the substantive laws of the State of Texas, excluding its conflicts of laws rules. These Terms state the entire agreement of the parties and may not be amended or modified except by publication of a new page by The Blue Shoe Project and subsequent use of the Site by you. Your continued or further use of the Site will be considered acceptance by you of the revised Terms. If any provision of these Terms is found invalid or unenforceable, it shall be deemed automatically severed and the remainder of the Terms shall be enforced as if the unenforceable portion had never been a part thereof, and the unenforceable portion shall be deemed automatically to have been reformed so as to conform as nearly as possible to the intent and context of the unenforceable portion, while still remaining valid and enforceable, and shall thereupon and to that extent be enforced. All Terms shall survive termination or expiration except the limited license granted herein, which shall immediately terminate and you shall cease all use and access immediately. Your obligations hereunder are not transferable or assignable. No delay or forbearance in enforcing these Terms or any Term shall constitute a waiver or precedent.
